Eligibility

You must be at least 18 years of age and reside in a jurisdiction where the Service is legally available. By using the Service, you represent and warrant that you meet these eligibility requirements and have the authority to enter into this Agreement.

What We Are / Description of Service

Orena is a technology company. We provide software that helps Users take and understand cognitive wellness assessments and view results in a consumer-friendly format. Orena does not provide medical services or practice medicine. No doctor–patient relationship is created between you and Orena by your use of the Service.

We partner with BrainCheck, Inc. to make available the BrainCheck Assess™ digital assessment under a licensing arrangement. As part of the Service, we may: (i) facilitate your access to BrainCheck Assess; (ii) receive assessment outputs from BrainCheck; and (iii) display those outputs in Orena's platform alongside educational explanations and wellness-oriented insights that we create. Orena-generated educational explanations are not clinical diagnoses or a substitute for professional advice. Clinical review and the included results-review consultation are provided by licensed healthcare professionals, who are responsible for their clinical guidance.

The $299 package includes one phone or video results-review consultation with a neurologist after your reviewed report is available. This appointment explains your assessment results, answers questions, and discusses recommended next steps. You may choose whether to use it. A family member or caregiver may join with your permission. Book through the Orena platform or the secure link provided with your results; appointment availability is shown when booking. If further evaluation is recommended, referral support is included: our team can help connect you with your existing doctor or a memory specialist, share your report with your permission, help arrange an appointment, and follow up on the referral. Additional medical visits, tests, treatment, and ongoing care are billed separately by the provider. Insurance coverage and appointment availability vary.

Fully Digital: The assessment is delivered digitally and can be taken on a supported computer, tablet, or smartphone. Orena does not ship or rent devices for you to complete the BrainCheck Assess.

Third-Party Services (Including BrainCheck)

The BrainCheck Assess™ assessment and related materials are owned and operated by BrainCheck, Inc. Your use of BrainCheck products is subject to BrainCheck's own terms, policies, and privacy practices. Orena is not responsible for BrainCheck's services, content, uptime, or accuracy, and makes no warranties regarding any third-party services.

Orena may also integrate or link to other third-party tools and vendors. We do not control and are not responsible for those third parties. We may change, suspend, or discontinue integrations at any time without notice.

User Accounts & Security

An account is required for certain features. When you purchase an assessment at checkout, we automatically create an Orena account for you using the first name, last name, and mobile phone number you provide. You agree to provide true, accurate, current, and complete information and to keep your mobile number up to date.

Passwordless sign‑in (SMS): Access to your account is authenticated via one‑time passcodes sent by SMS to your registered mobile number. You are responsible for maintaining the security of your device and for all activities under your account. Notify us immediately of any unauthorized access or if you suspect your phone number has been compromised.

Technical Requirements. You are responsible for maintaining compatible hardware, software, and reliable internet connectivity to access the Service (including a supported web browser and operating system). We are not responsible for errors or interruptions caused by your device, network, or third‑party software.

SMS Authentication, Consent & Program Terms

By purchasing an assessment and creating an account, you consent to receive SMS/text messages from Orena for the limited purposes of: (i) sending one‑time passcodes for login/authentication, (ii) account and transaction notifications (e.g., purchase confirmations, assessment availability/status, security alerts), and (iii) customer‑support follow‑ups related to these items. Message frequency varies. Msg & data rates may apply. Carriers are not liable for delayed or undelivered messages.

On our checkout and sign‑in pages you will see:
"By continuing, I agree to Orena's Terms of Service and Privacy Policy."
By clicking Continue, you agree to this Agreement and our Privacy Policy and you consent to receive the SMS messages described above as a condition of accessing your account.

Opt‑Out/STOP: You may opt out at any time by replying STOP. Opting out will disable SMS‑based authentication and may prevent you from accessing your account; you may need to contact support@getorena.com to explore alternative access or to close your account.

HELP: For help, reply HELP or contact support@getorena.com.

Number Ownership; Accuracy: You represent that the mobile number you provide is your own, accurate, and kept current. If you change or deactivate your number, you must promptly update your account.

Program Changes: We may change or discontinue the SMS program or switch providers at any time. We may limit or suspend messaging to protect users or the Service.

Assessments & Appropriate Use

• Assessment Limitations. The assessment measures cognitive performance. It does not by itself establish or rule out Alzheimer’s disease, dementia, or another diagnosis. The included consultation focuses on the results and next steps; further evaluation may be needed. Orena-generated educational content does not replace the advice of your clinician.
• Testing Conditions. You agree to take assessments in a quiet, distraction‑free setting, follow instructions, and answer honestly. Results can be influenced by fatigue, environment, medications, practice effects, and other factors.
• No Gaming or Misuse. Cheating, automating, or otherwise manipulating the assessment or results is prohibited and may invalidate results and/or lead to account termination.

Educational Insights, AI, and Limitations

Orena may offer summaries, charts, comparative ranges, notifications, and/or AI‑generated explanations. These features are for convenience and education only and are not a substitute for professional clinical judgment. Do not delay or disregard professional advice based on anything you read in Orena.

AI Features; Third‑Party Tools; Data Use. Orena may use third‑party AI tools to provide educational features. We may process and retain your prompts, feedback, and chat history to operate, secure, and improve these features. Training Opt‑Out: You may opt out of having your personal data used to improve AI models by emailing privacy@getorena.com with subject "AI Training Opt‑Out." AI content may be inaccurate or outdated and is not medical advice.

Data & Privacy

Your data is handled in accordance with our Privacy Policy, which is incorporated by reference. We may collect account information, including your mobile phone number (used for authentication and account notifications), device/session data, and assessment‑related outputs in order to operate, secure, and improve the Service. We may use de‑identified and/or aggregated information for product development, research, analytics, and quality assurance. We do not sell your identifiable personal health data. Additional terms and notices may apply when you interact with BrainCheck or other third parties.

Fees, Payment & Taxes

The online assessment costs $299 as a one-time cash payment. It includes one full assessment, clinician review, a digital report with next-step recommendations, and one phone or video results-review consultation with a neurologist, plus help arranging further evaluation if recommended, at no additional fee. We do not bill insurance or Medicare for this offer. By providing a payment method, you authorize the $299 payment shown at checkout.

Alternatively, you may start with a free online screener on our insurance pathway. The screener is provided at no charge. If, after clinician review, the screener indicates that further testing is warranted, you may submit your Medicare or insurance information through your account; we verify coverage before the full assessment is provided, and the full assessment and related services are billed to your plan. You are responsible for any copays, coinsurance, deductibles, or non-covered amounts under your plan. If the screener does not indicate further testing, insurance is generally not billed for a full assessment, and you may instead purchase the $299 cash option. The money-back guarantee in Section 10 applies to the $299 cash purchase.

This purchase does not enroll you in a subscription. Additional assessments require a separate purchase. Your purchase is covered by our 100% money‑back guarantee within 30 days of receiving your results (see Section 10).

Cancellations, Refunds & Credits (Digital Product)

• 100% Money‑Back Guarantee. If you are not satisfied with your purchase, you may request a full refund by emailing support@getorena.com within 30 days of receiving your results. Refunds are returned to the original payment method.
• Access/Setup Issues. If you encounter verified technical issues that prevent access or completion not caused by your device, network, or misuse, we may offer reasonable troubleshooting and, where appropriate, an account credit. Choosing troubleshooting or declining an account credit does not remove your right to request a full refund under the guarantee above. Credits expire one (1) year from issuance and have no cash value.
• Chargebacks. We reserve the right to contest chargebacks and to suspend accounts involved in suspected fraud or abuse.

Prohibited Uses

You agree not to, and not to allow others to: (a) use the Service for any unlawful, clinical, diagnostic, or commercial purposes not expressly permitted by us; (b) copy, modify, reverse engineer, or create derivative works of the Service; (c) circumvent, probe, or impair any security or access controls; (d) scrape, harvest, or mine data except as permitted by Orena‑provided export features; (e) misrepresent identity or results; or (f) interfere with the Service's operation or other users' use.

Monitoring & Enforcement. We reserve the right to monitor use of the Service (including investigating alleged violations) and to remove, restrict, or disable access to any feature or content we reasonably believe violates this Agreement or law, and to cooperate with law enforcement where appropriate.

Intellectual Property

The Service, including software, content, designs, trademarks, and documentation, is owned by Orena or its licensors and is protected by intellectual property laws. Except for rights expressly granted to you, all rights are reserved. You may not use Orena's or BrainCheck's marks without prior written permission.

DMCA Policy. If you believe content on the Service infringes your copyright, please submit a notice that satisfies 17 U.S.C. § 512(c)(3) to:

If you believe material was removed or disabled by mistake or misidentification, you may send a counter‑notification consistent with 17 U.S.C. § 512(g) to the same address.

THE SERVICE (INCLUDING ANY EDUCATIONAL INSIGHTS AND AI FEATURES) IS PROVIDED "AS IS" AND "AS AVAILABLE." ORENA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT RESULTS WILL BE ACCURATE, COMPLETE, OR ERROR‑FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

ORENA IS NOT A HEALTHCARE PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE. THE SERVICE IS NOT A MEDICAL DEVICE AND IS NOT INTENDED FOR DIAGNOSIS, TREATMENT, OR MANAGEMENT OF ANY DISEASE OR CONDITION. IF YOU MAY BE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORENA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS YOU PAID TO ORENA FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Time to Bring Claims. Any claim arising from or relating to the Service must be filed within two (2) years after the cause of action accrues, or such claim is permanently barred.

Indemnification

You agree to indemnify, defend, and hold harmless Orena and its affiliates, officers, directors, employees, contractors, and agents from and against any third‑party claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your (a) use or misuse of the Service; (b) violation of this Agreement; (c) violation of law or third‑party rights; or (d) content you submit.

Termination & Suspension

We may suspend or terminate your access to the Service at any time with or without notice for actual or suspected violations of this Agreement, non‑payment, fraud, or misuse. You may cancel your account at any time. Sections that by their nature should survive termination will survive (including payment obligations, IP, disclaimers, limitations of liability, and indemnification).

Changes to the Service or Terms

We may modify the Service and/or this Agreement from time to time. Material changes will be communicated via email and/or in‑app notice. Your continued use after the effective date of changes constitutes acceptance of the updated Agreement.

Governing Law; Arbitration; Class Action Waiver; Venue

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict‑of‑law rules.

Binding Arbitration. Except for the matters described below, any dispute, claim, or controversy arising out of or relating to the Service or this Agreement (collectively, "Disputes") will be resolved by confidential, binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will be conducted by a single arbitrator. Either party may appear remotely. The arbitrator's award will be final and binding and may be entered in any court of competent jurisdiction.

Class/Representative Actions Waiver. Disputes must be brought in the parties' individual capacities, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims or otherwise preside over any form of a representative or class proceeding.

Opt‑Out. You may opt out of arbitration within 30 days of first accepting this Agreement by emailing legal@getorena.com with subject "Arbitration Opt‑Out," and including your full name and the mobile phone number associated with your account. If you opt out, or if arbitration is found unenforceable, Disputes will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

Exceptions. Either party may seek (i) individualized claims in small‑claims court if they qualify; and (ii) temporary or preliminary injunctive relief in court to protect intellectual property or the security of the Service, pending final resolution by arbitration.

Fees. Payment of filing, administration, and arbitrator fees will be governed by the AAA rules. Each party will bear its own attorneys' fees and costs unless otherwise required by law.

Severability; Waiver

If any provision is found unenforceable, the remaining provisions will remain in full force and effect. No waiver of any term will be deemed a further or continuing waiver of such term or any other term.

Entire Agreement

This Agreement, together with our Privacy Policy and any additional terms that apply to specific features, constitutes the entire agreement between you and Orena and supersedes any prior or contemporaneous understandings.

Notices. We may provide notices to you via email to the address associated with your account, via SMS to your registered number, through in‑app messages, or by posting within the Service. Notices are deemed given when sent or posted by us. You agree to keep your contact information current.

"BrainCheck" and "BrainCheck Assess" are trademarks of BrainCheck, Inc. and are used under license. All other third‑party names and marks are the property of their respective owners.

Assignment

You may not assign, delegate, or transfer this Agreement, by operation of law or otherwise, without our prior written consent. We may assign or transfer this Agreement without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

By using the Orena Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
